To the Share Owners:
General Electric Company's 2002 Annual Meeting of Share Owners will be held at
the Waukesha County Expo Center, Northview Road, Waukesha, Wisconsin 53188, on
Wednesday, April 24, 2002, at 10:00 a.m., to address all matters that may properly
come before the meeting. Following a report on GE's business operations, the share
owners will vote on:

Election of Directors for the ensuing year; |
| (b) |
Approval of the appointment of Independent Auditors for 2002; |
| (c) |
Executive Officer Performance Goals; and |
| (d) |
Eight share owner proposals set forth at
pages 34 through 44 (Share Owner Proposals) in
the accompanying Proxy Statement. |
Share owners of record at the close of business on March 1, 2002, will be entitled
to vote at the meeting and any adjournments.
